Introduction and Acceptance of Agreement

This Agreement governs the use of the services (the "Service") offered by Idea Architects Online ("Ideaarchitectsonline.com") at the Ideaarchitectsonline.com Web Site (the "Site"). Please read these Terms of Use ("Terms of Use" or "Agreement") carefully. Use of the Site constitutes an agreement to all terms and conditions in this Agreement. By using this Site you represent, warrant, understand, agree to and accept all terms and conditions contained in this Agreement without modification by User. The Terms of Use are subject to change by Ideaarchitectsonline.com at any time, effective upon posting on the Site of a revised version, and your use of the Service after such posting, will constitute acceptance by you of the revised version of the Terms of Use.

Eligibility
The Site is intended for use by persons who are at least 18 years old, or the legal age required to form a binding contract in your jurisdiction if that age is greater than 18. By using the Site, you represent and warrant that you are at least 18 years old and of legal age to form a binding contract. If you are under 18, you may use the Site only with the permission and involvement of a parent or guardian.

You can view the Ideaarchitectsonline.com Privacy Policy by clicking here. By using this Site, you do hereby represent, understand and agree that you have reviewed and agree to that policy.

Access To The Site
Ideaarchitectsonline.com reserves the right to modify or discontinue any services or content provided by the Site with or without notice to the User. You acknowledge and accept that Ideaarchitectsonline.com does not guarantee continuous uninterrupted service or access to the Site and operation of the Site may be interfered with or adversely affected by numerous factors or circumstances outside of our control. You are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access the Service.

Awarding of Compensation
Money will be awarded by Ideaarchitectsonline.com for each approved new business idea submitted on the Site. The amount of money is Fifty Dollars ($50.00) (USD). An approved business idea is one that is accepted by the Ideaarchitectsonline.com Review Team. The criteria for ideas that are more likely to get approved are listed on the Site.
Users will also receive a $1,000 (USD) cash bonus for submitting 10 approved ideas.

Rights To New Busines Ideas And Content
Any content, materials, emails and letters sent by you to Ideaarchitectsonline.com regarding the site, including without limitation, new business ideas and concepts submitted on the Site, questions, comments, suggestions, criticisms or the like ("Received Materials") shall be deemed to be non-confidential and free of any claims of proprietary or personal rights.

Ideaarchitectsonline.com and its affiliates will be free to reproduce, use, disclose, exhibit, display, transform, edit, abridge, create derivative works from and/or distribute the Received Materials without limitation or restriction.and shall have no obligation of any kind with respect to such Received Materials. In addition, Ideaarchitectsonline.com and its affiliates is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to Ideaarchitectsonline.com for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products using such information, without compensation or any other obligations to anyone, including you. Anything you transmit or post may be used in perpetuity by Ideaarchitectsonline.com and its affiliates, including Smarterleap.com, for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, and posting. Furthermore, Ideaarchitectsonline.com is free to use for any purpose whatsoever, without any compensation to you, anything you transmit or post, including but not limited to art, ideas, concepts, know-how, or techniques contained in any communication you send to the Site. Ideaarchitectsonline.com claims no responsibility of any copyright infringement on materials sent by its network of idea architects. You agree to be liable for any content posted to the Site. By posting content to the Site, you warrant and represent that you own all rights in your Content and the performance contained in your Content, or you have acquired all necessary rights in your Content to enable you to grant to Ideaarchitectsonline.com the rights in your Content described herein and for us to exercise the rights with respect to such Content that you grant herein.

Electronic Communication
You agree to electronic communication for all of your transactions and communication with Ideaarchitectsonline.com and the Site. You agree that all postings, notices, disclosures, or other communications that we provide to you electronically satisfy any legal requirements that such communications be in writing.

The Site may contain links to websites controlled or offered by third-parties (non-affiliates of Ideaarchitectsonline.com). You acknowledge that Ideaarchitectsonline.com is not responsible for the availability of, or the content located on or through any third-party website. Ideaarchitectsonline.com makes no representations about and disclaims liability for, any information, materials, products or services posted or offered at any of the third-party websites linked to this website. By agreeing to the terms of this Agreement, You agree to indemnify, defend, and hold harmless Ideaarchitectsonline.com, its directors, officers, members, employees, agents, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates from and against any and all claim, loss, expense or demand of liability, including attorneys' fees and costs incurred by Ideaarchitectsonline.com and affiliates in connection with any claim by a third party (including an intellectual property claim) arising out of (i) materials and content You submit, post or transmit through the Site, or (ii) use of the Site in violation of these Terms of Use or in violation of any applicable law. You further agree that they will cooperate as reasonably required in the defense of such claims.
